System Map — Business Structure & Shielding
Owner: D'Vaughn House · Created: 2026-10-07 · Status: living document — updated as pieces move Purpose: one page that says what exists, what shields what, and what's next — so the structure holds itself and he can build software.
1. Target architecture (the end state)
D'Vaughn House (person)
└── Revocable living trust (owns the company; avoids probate; he keeps full control)
└── Wyoming LLC, foreign-registered in Ohio (operates everything)
├── Treasury Safe (0x594c0Bb58D103d5A603eeA62167A54095d939039)
│ └── WAVY fee stream (0.665%) + 15% vesting allocation
├── Token holdings (WAVY, SPIN, future)
├── Operating businesses (Reynard's, WAVY Ship's Store, Glenride)
└── IP (brand, code, PRDs, content, trust-center record)
Counsel (on call — classification consult first, relationship after)
Why this shape: the LLC draws the liability line between him and the business while he's alive; the trust makes sure the paper actually works after he's gone (no probate, no reinterpretation); Wyoming gives charging-order protection plus privacy (no public member disclosure). The trust owns the company; the company owns the assets. Clean lines, no commingling.
2. What each layer shields (and doesn't)
| Layer | Shields against | Does NOT shield against |
|---|---|---|
| Wyoming LLC | Business debts/liabilities reaching personal assets; creditor seizure of the business itself (charging orders attach to distributions only) | Anything before formation; personal debts reaching the business (reverse piercing, rare); sloppy formalities — commingling kills the shield |
| Ohio foreign registration | Ohio fines / loss of standing for operating unregistered | Nothing on its own — it's compliance, not armor |
| Revocable living trust | Probate; court reinterpretation of wishes; business interruption at death | Creditors while he's alive (revocable = reachable). This is continuity, not fortress |
| Irrevocable trust (option, later) | Creditors, litigants — real asset protection | His control (he gives it up); anything transferred after a threat appears (fraudulent conveyance) |
| Counsel on call | Regulatory missteps; someone testing him | Nothing retroactively — engage before the fight, not during |
| Paper trail (audits, receipts, trust center) | "He said / she said" — every claim has a receipt | None — this layer is pure upside |
3. Asset inventory → destination
| Asset | Now | Eventual home |
|---|---|---|
| WAVY 15% vesting + 0.665% fee stream | Treasury Safe (deployed, his 1-of-1) | Safe owned by the LLC |
| SPIN holdings / vesting reserve | His wallets / Bankr control | LLC |
| Reynard's (Shopify store) | Sole prop | LLC |
| WAVY Ship's Store (memorabilia) | Sole prop | LLC |
| Glenride Institute + retainers | Sole prop | LLC |
| IP: brand, code, PRDs, content, trust-center record | His | LLC (assigned in writing at formation) |
| Personal assets (home, savings, etc.) | His | His — never in the LLC |
4. Status ledger

PLANNED (structure track) - [ ] Wyoming LLC formation (~$100–200 + registered agent ~$50–150/yr) - [ ] Ohio foreign registration (~$99) — required since he operates from Cincinnati - [ ] EIN, separate bank account, books — day one of the LLC, no commingling ever - [ ] Revocable living trust holding the LLC interest — when counsel is engaged - [ ] IP assignment (brand, code, content) into the LLC in writing - [ ] Irrevocable layer — option only, if a real threat ever appears
5. Standing rules (the shield only works if these hold)
- No commingling. Business money and personal money never touch. Ever.
- No profit promises. In any copy, any channel, ever.
- No invented partners. No name in public without a signed agreement.
- Nothing launches without his explicit approval. The freeze-board principle, applied everywhere.
- Paper on everything. If it isn't written down, it didn't happen — the audit log is the memory of the structure.
- Counsel before the fight. The consult happens before launch; the relationship exists before it's needed.
6. Sequencing
- Now (free): book the consult, post the announcements, run the simulation, keep building.
- Soon (cheap): form the Wyoming LLC + Ohio registration when he says go — a few hundred dollars, one afternoon of paperwork.
- Later (funded): trust drafting with the attorney, security audit from treasury revenue, irrevocable layer only if the future demands it.
The structure exists so he doesn't have to think about it. Check this map monthly; otherwise, build software.
